We, Playfluent Eduventures LLP (“Kidiaree”, “we,” “us” “our”) provide services to all individuals (“you”, “yours”, “User”) who are accessing or using our website or App (“Online Platform”) subject to the notices, terms, and conditions set forth in these terms and conditions (“Terms and Conditions”), read with the Privacy Policy. The Online Platform is owned and operated by Playfluent Eduventures LLP, duly incorporated under the provisions of the Limited Liability Partnership Act 2008.

By proceeding with the use of Kidiaree, User(s) agree to be legally bound by these Terms and the Privacy Policy. These Terms and the Privacy Policy together constitute a legal agreement (“Agreement”) between User(s) and Kidiaree in connection with User(s) use to Kidiaree’s services. By accessing or browsing of the Online Platform and using the Services (as defined below) you indicate your agreement to all the terms and conditions in this Agreement. If you disagree with any part of the Terms and Conditions, then you may discontinue access or use of the Online Platform.

Applicability of Terms and Conditions

a) User(s);

Eligibility

When you use the Platform, you represent that you meet the following primary eligibility criteria:

a) You are at least 18 years old or accessing the Platform under the supervision of a parent or guardian, who in such a case will be deemed as the user of the Services (as defined in these Terms and Conditions) for the purpose of these Terms and Conditions.

b) If you are below 18, then your parent or guardian can open an account and help you enrol in classes/courses/activities that are appropriate for you.

c) You are legally competent to contract, and otherwise competent to receive the Services (as defined in these Terms and Conditions). Persons who are "incompetent to contract" within the meaning of the Indian Contract Act, 1872 including un-discharged insolvents etc. are not eligible to use the Online Platform.

d) You have not been previously suspended or removed by Kidiaree or disqualified for any other reason, from availing the Services.

e) Kidiaree reserves the right to terminate your membership and/or refuse to provide you with access to the Online Platform if Kidiaree discovers that you are under the age of 18 years and you are availing the services of Kidiaree by using Online Platform without parent or guardian’s supervision.

Overview of Our Services

The Online Platform is an internet-based hyperlocal discovery service and aggregator of kids’ activities and classes which acts as a booking platform for a variety of courses, activities and classes for children and provides the User with information in the form of listings and profile pages of the various classes, events and workshops (such as art, dance, music, sports, etc.) (“Activity”) being offered by Kidiaree through third parties who would be experienced in their particular field/subject (“Service Provider).

The User acknowledge that the Online Platform serves as an online booking portal listing information submitted by the User for enrolling in/conducting the Activity. By using, visiting, registering for, and/or otherwise participating on the Online Platform, including availing the Services presented, promoted, and displayed on the Online Platform, and by clicking on “I have read and agree to the terms of use” the User hereby certify that:

a) He/she is the User or a prospective User;

b) He/she has the authority to enter into these Terms of Use;

c) He/she authorize the transfer of payment for Services requested through the use of the Online Platform; and

d) He/she agree to be bound by all terms and conditions of these Terms of Use and any other documents incorporated by reference herein.

Account Registration and Eligibility

The User may access and use the Online Platform by registering to create an account by submitting their name, mobile number and email address through the account registration page on the Online Platform, creating a password (“Account”), verifying their mobile number by means of a one-time password and becoming a member; or the User may register by verifying their details and logging into their account with certain compatible third party sites (including, but not limited to Facebook, Google etc.) (“Third-Party Account”) via the Platform. The Account and Third-Party Account may be collectively referred to as “Kidiaree Account”. As part of the functionality of the Platform, the Users may link their Kidiaree Account with their Third-Party Account through either of the following:

a) By providing their Third-Party Account login information to Kidiaree through the Online Platform; or

b) By allowing Kidiaree to access their Third-Party Account as may be permitted under the applicable terms and conditions that govern the User under the Third-Party Account service providers and without obligating Kidiaree to pay any fees or making Kidiaree subject to any usage limitations imposed by such third-party service providers.

In addition to the information provided at the account registration page, the User shall also have the option to provide additional information, which is not required to register for the Kidiaree Account but may be helpful to Kidiaree in providing the User with a more customized experience when using the Online Platform.

The User shall be solely responsible for safeguarding his/her Kidiaree Account password and, if applicable, their Third-Party Account password and shall keep his/her Kidiaree Account passwords secure at all times. The User shall be solely responsible for all activity that occurs on their Kidiaree Account and shall notify Kidiaree immediately of any breach of security or any unauthorized use of his/her Kidiaree Account. Similarly, the User shall never use anyone else’s Kidiaree Account without Kidiaree’s express written permission. The User agrees that he/she will not represent him/her(selves) or misrepresent him/her(selves) as another user of the Online Platform.

Indemnification and Limitation of Liability

You agree to indemnify, defend and hold harmless Kidiaree including but not limited to its affiliates, vendors, representatives, directors, agents and employees from and against any and all losses, liabilities, claims, damages, demands, costs and expenses (including legal fees and disbursements in connection therewith and interest chargeable thereon) asserted against or incurred by Kidiaree that arise out of, result from, or may be payable by virtue of, any breach or non-performance of any representation, warranty, covenant or agreement made or obligation to be performed by you pursuant to these Terms. Further, you agree to hold Kidiaree harmless against any claims made by any third party due to, or arising out of, or in connection with, your use of the Website, any claim that Your material caused damage to a third party, your violation of the Terms, or your violation of any rights of another, including any intellectual property rights.

Notwithstanding anything to contrary, Kidiaree's entire liability to You under this Terms or otherwise shall be to the extent of refund of the money charged from You for any specific service, under which the unlikely liability arises. In no event shall Kidiaree, its officers, directors, employees, partners or suppliers be liable to You, the vendor or any third party for any special, incidental, indirect, consequential or punitive damages whatsoever, including those resulting from loss of use, data or profits, whether or not foreseeable or whether or not Kidiaree has been advised of the possibility of such damages, or based on any theory of liability, including breach of contract or warranty, negligence or other tortious action, or any other claim arising out of or in connection with Your use of or access to the Website, services or materials.

Kidiaree is not responsible for any non-performance or breach of any contract entered into between you and third party. Kidiaree cannot and does not guarantee that the concerned person will perform any transactions that are entered into on the Website. Kidiaree shall not and is not required to mediate or resolve any dispute or disagreement between you and third party. Kidiaree does not, at any point of time during any transaction between you and third party on the Website.

User Obligations

Subject to compliance with these Terms, Kidiaree grants You a personal, non-exclusive, non-transferable, limited privilege to access and use this Website and the Services provided herein.

You agree to use the Services, Website and the materials provided therein only for purposes that are permitted by: (a) the Terms; and (b) any applicable law, regulation or generally accepted practices or guidelines in the relevant jurisdictions.

You agree to adhere to all limitations on dissemination, use and reproduction of any service that You access on the Website in accordance with Paragraph 8 below.

You agree not to access (or attempt to access) the Website and the services by any means other than through the interface that is provided by Kidiaree. You shall not use any deep-link, robot, spider or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Website or Content (as defined below), or in any way reproduce or circumvent the navigational structure or presentation of the Website, materials or any Content, to obtain or attempt to obtain any materials, documents or information through any means not specifically made available through the Website.

You acknowledge and agree that by accessing or using the Website or Services, You may be exposed to content from other users that You may consider offensive, indecent or otherwise objectionable. Kidiaree disclaims all liabilities arising in relation to such offensive content on the Website. Further, You may report such offensive content in the manner prescribed herein.

If the Website allows You to post and upload any material on the Website, You hereby undertake to ensure that such material is not offensive and in accordance with applicable laws. Further, You undertake not to:

• Defame, abuse, harass, threaten or otherwise violate the legal rights of others;

• Impersonate any person or entity, or falsely state or otherwise misrepresent Your affiliation with a person or entity;

• Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information through any bookmark, tag or keyword;

• Upload files that contain software or other material protected by applicable intellectual property laws unless You own or control the rights thereto or have received all necessary consents;

• Upload or distribute files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of the Website or another's computer;

• Engage in any activity that interferes with or disrupts access to the Website or the services (or the servers and networks which are connected to the Website);

• Attempt to gain unauthorized access to any portion or feature of the Website, any other systems or networks connected to the Website, to any Kidiaree server, or to any of the services offered on or through the Website, by hacking, password mining or any other illegitimate means;

• Probe, scan or test the vulnerability of the Website or any network connected to the Website, nor breach the security or authentication measures on the Website or any network connected to the Website. You may not reverse look-up, trace or seek to trace any information on any other user, of or visitor to, the Website, or any other customer of Kidiaree, including any Kidiaree Account not owned by You, to its source, or exploit the Website or service or information made available or offered by or through the Website, in any way whether or not the purpose is to reveal any information, including but not limited to personal identification information, other than Your own information, as provided for by the Website;

• Disrupt or interfere with the security of, or otherwise cause harm to, the Website, systems resources, accounts, passwords, servers or networks connected to or accessible through the Websites or any affiliated or linked sites;

• Collect or store data about other users in connection with the prohibited conduct and activities set forth in this Paragraph.

• Use any device or software to interfere or attempt to interfere with the proper working of the Website or any transaction being conducted on the Website, or with any other person's use of the Website;

• Use the Website or any material or Content for any purpose that is unlawful or prohibited by these Terms, or to solicit the performance of any illegal activity or other activity which infringes the rights of Kidiaree or other third parties;

• Conduct or forward surveys, contests, pyramid schemes or chain letters;

• Download any file posted by another user of a service that you know, or reasonably should know, cannot be legally distributed in such manner;

• Falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded;

• Violate any code of conduct or other guidelines, which may be applicable for or to any particular Service;

• Violate any applicable laws or regulations for the time being in force within or outside India;

• Violate the Terms, including but not limited to any applicable Additional Terms of the Website contained herein or elsewhere; and

• Reverse engineer, modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information or software obtained from the Website.

Kidiaree has no obligation to monitor such communications by You. However, Kidiaree reserves the right to review materials posted by You and to remove any materials in its sole discretion. Kidiaree reserves the right to terminate the User's access to any or all of such communication services provided by Kidiaree at any time, without notice for any reason whatsoever.

Kidiaree reserves the right at all times to disclose any information as is necessary to satisfy or comply with any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in Kidiaree's sole discretion.

Kidiaree does not control or endorse the content, messages or information found in any communication service and, therefore, Kidiaree specifically disclaims any liability or responsibility whatsoever with regard to the communication services and any actions resulting from the user's participation in any communication service.

You agree that You are solely responsible to Kidiaree and to any third party for any breach of Your obligations under the Terms and for the consequences (including any loss or damage which Kidiaree or its affiliates or its vendors may suffer) for any such breach.

You agree and acknowledge that Kidiaree is not the third-party owner of the services and Kidiaree shall in no manner be deemed to be the third-party owner of the services on this Website. Kidiaree is only facilitating services by You from the third parties by providing the services to You.

You agree that Kidiaree may, at any time, modify or discontinue all or part of the Website, charge, modify or waive fees required to use the Website, or offer opportunities to some or all Website Users.

You agree that the Website shall not be used for illegal purposes. The Information and Services shall not be used for any illegal purpose. You shall not access our networks, computers, or the Information and Services in any manner that could damage, disable, overburden, or impair them, or interfere with any other person's use and enjoyment. You shall not attempt to gain unauthorized access to any Information or Services, other accounts, computer systems, or networks connected with the Website, the Information, or Services. Such unauthorized access includes, but is not limited to, using another person’s login credentials to access his or her Kidiaree profile/ account. Any attempt by any individual or entity to solicit login information of any other user or to access any such account is an express and direct violation of these Terms of Use and of applicable law(s), including relevant privacy and security laws and laws prohibiting unfair or unethical business practices.

Your use of Service VIA Online Platform

Kidiaree shall provide the User with information pertaining to each Service Provider’s expertise by creating a profile of the Service Provider which shall contain details of the Activity, pricing and availability of such Activity and an integrated payment gateway to book such Activity. It is hereby agreed by the User that all commercial terms such as eligibility criteria (age/skill), class fees, class timings, batch, venues, seat availability per batch, minimum and maximum period of enrolment etc. relating to the services offered on the Online Platform will be provided by the Service Provider alone. Kidiaree does not have any control nor does it determine or advise or in any way involve itself in the offering or acceptance of such terms between the Service Provider and the User. Kidiaree shall, however, through the Kidiaree Service offer support services to the User in respect of hyperlocal discovery, listing services, providing a booking portal, payment terms and collection, reviews, ratings and/or feedback, and other support services for which it would charge a booking / convenience fee and an online transaction fee charged by the payment gateway to Kidiaree.

The User acknowledges that Kidiaree does not make any representations and/or any warranties in respect of the Services provided by the Service Provider and as to the legal title, creditworthiness, identity, etc. of any of the Service Providers. The User is hereby advised and instructed to independently verify the bona fides of any particular Service Provider that they choose to deal with/engage using the Platform and use their best judgment in that behalf. All the offers provided by the Service Providers and any third-party offers are subject to their respective party terms and conditions and Kidiaree takes no responsibility or liability for such offers.

The User agree that Kidiaree has neither made any representation or warranty as to the specifics (such as quality, value, merit, worth, utility, saleability, etc.) of the Activity and/or the Services offered and/or extended on the Platform nor does it implicitly or explicitly support or endorse the Activity and/or the Services on the Platform. Kidiaree accepts no liability for any errors or omissions, whether on behalf of itself, the Service Provider or any third parties.

The User shall not take any action which amounts to the following:

a) Commit to availing or using a Service without booking on the Platform;

b) Signing up for, negotiating a price for, using, or otherwise soliciting the Services with no intention of following through with the use of or payment for the Services;

c) Agreeing to avail the Services when the User do not meet the Service Provider's terms as outlined in the listing on the Platform,

d) Misusing any options made available now or in the future by Kidiaree in connection with the use of or availing of any Services.

In the event the User posts any review, rating and/or feedback on the Platform of any Service availed by such Service User, he/she shall be considered the sole author of that review; rating and/or feedback. The review, rating and/or feedback shall reflect the actual experience of the User. The User shall not be paid or otherwise remunerated in connection with his/her authoring or posting of the review, rating and/or feedback and should have had no financial, competitive, or other personal incentive to author or post the review, rating and/or feedback that was not a fair expression of their honest opinion.

The User agrees that Kidiaree shall not be held responsible for any non-performance or breach of any contract (including but not limited to request for change of batch/timing/venue or request for cancellation after booking) entered into between the Service Provider and the User on the Online Platform. Kidiaree cannot and does not guarantee that the concerned Service Provider and/or any third-party engaged by it will perform any transaction concluded on the Online Platform. Kidiaree shall not be held responsible for unsatisfactory or non-performance of Services or damages or delays as a result of such Services. Kidiaree bears no responsibility for the actions of the Service Provider or the User and does not control such actions. It shall be the responsibility of the User to exercise their own discretion and conduct necessary checks and inquiries when engaging with the Service Provider and/or any third-party engaged by it.

If any User requests any change/rescheduling in the Activity, for instance, session, batch timings, duration, available slots, venue, fees and/or curriculum, the User shall directly request the Service Provider for such change/rescheduling of Activity. The User may reschedule a batch/session booked with the Service Provider at the sole discretion of the Service Provider subject to prior approval by the Service Provider and availability of a slot and Kidiaree assumes no responsibility or liability in respect of such rescheduling/change requests by a Service User. However, it shall be the responsibility of the Service Provider to update such change in batch/session on the Dashboard so that the Platform reflects the correct availability of open slots for every batch and Kidiaree shall not be liable to any User for any claims arising from such a change.

Any booking of the Services from the Physically/Website/Online Platform will be strictly for personal use of the User. The User hereby expressly agrees that any Services booked/availed by the User will not be sold, resold, bartered or in any way be used for any commercial purposes or for profit. The User hereby acknowledges that the Services availed are not transferrable to any third party for profit.

Payments and Bookings

All payments made against availing the Services on the Online Platform by the User shall compulsorily be made in Indian Rupees. The Online Platform shall not facilitate transactions in any other form of currency. The User shall have the option to pay by:

a) Credit card or debit card or net banking;

b) Payment Wallets like PayTM, PhonePe, Freecharge, AmazonPay et;

c) UPI (Unified Payments Interface) developed by National Payments Corporation of India facilitating inter-bank transactions;

d) any RBI approved payment method at the time of booking on the Platform; or

e) Cash/Cheque directly at the centre.

Except where the option to pay cash directly at the centre is availed, the User acknowledge and agree that Kidiaree acts as the Service Provider’s payment agent for the limited purpose of accepting payments from the User on behalf of the Service Provider. Upon the User’s payment of amounts to Kidiaree, which are due to the Service Provider, the User’s payment obligation to the Service Provider for such amounts is completed and Kidiaree is responsible for remitting such amounts to the Service Provider by a separate transaction.

The fees for Services reflected on the Online Platform are determined solely by the Service Provider and are listed based on the information provided by the Service Provider on the Online Platform. Kidiaree shall in no way be liable for any change in such fees at the time of booking slots for the Activity since the fees are at the sole discretion of the Service Provider attributing to various factors beyond Kidiaree’s control.

Kidiaree reserves the right to charge booking fees/service charges and applicable GST on every transaction concluded using the Online Platform from the User. Kidiaree further reserves the right to alter such booking fees/service charges from time to time, without prior notice to the User.

The User shall be liable to pay all applicable charges, fees, duties, taxes, levies and assessments including but not limited to internet handling charges and/or the applicable payment gateway charges for availing Services listed on the Online Platform.

The User understands, accepts and agrees that the payment facility provided by Kidiaree is neither a banking nor financial service but is merely a facilitator providing an electronic, automated online electronic payment, receiving payment on booking of Services, collection and remittance facility for the transactions on the Online Platform using the existing authorized banking infrastructure and credit card payment gateway networks. Further, by providing the payment facility, Kidiaree is neither acting as trustees nor acting in a fiduciary capacity with respect to the transaction or the transaction fees.

While availing any of the payment method(s) available on the Platform, Kidiaree shall not be held responsible or assume any liability, whatsoever in respect of any loss or damage arising directly or indirectly to the Users due to:

a) Lack of authorization for any transactions;

b) Any payment issues arising out of the transaction or Decline of such transaction for any reason not attributable to Kidiaree.

Cancellation and Refund

The User agrees that as a general practice of Kidiaree, the User shall not be entitled to cancel his/her booking upon successful completion of the transaction through the Online Platform. If, for any reason, the User cancels the booking of the Service availed after it has been confirmed, Kidiaree shall have a right to charge a cancellation fee.

However, in the unlikely event of any Activity being unavailable, Kidiaree shall contact the User on the phone number or email address provided to Kidiaree at the time of booking and informs the User of such unavailability. In such an event the User will be entitled to cancel the booking and shall be entitled to a refund as may be deemed appropriate by Kidiaree at its sole discretion.

All refund amounts shall be credited to the User’s account within 14 (Fourteen) working days in accordance with the terms that may be stipulated by the bank through which the payment has been processed.

Privacy and Data Sharing

User(s)’privacy and that of any other person whose information the User(s) provides to Kidiaree is important to Kidiaree. User(s) must see the privacy policy of Kidiaree available at www.Kidiaree.in (“Privacy Policy”) for details of what information Kidiaree collect and how it will use and protect such information. Kidiaree and/or its associates, sister concerns or Group Companies may use User(s) personal, transactional and other Online Platform level information for the purpose of promotional activities without any additional consent from or compensation to the User(s). User(s) expressly consent to receive transactional, commercial and marketing communications both related to their products and services generally, from Kidiaree and/or its associates, sister concerns or Group Companies electronically, except in those jurisdictions where User(s) express consent is required to be received commercial or marketing communications electronically. Commercial and marketing communications may include notifications about relevant special offers or opportunities given by Kidiaree and/or its associates, sister concerns or Group Companies. In such event, Kidiaree and/or its associates, sister concerns or Group Companies shall send the User(s) commercial or marketing communications electronically only if the User(s) has provided his/her express consent by proactively opting-in to receive such communications from Kidiaree and/or its associates, sister concerns or Group Companies regarding its products and services.

Intellectual Property Rights

All the intellectual property used on the Website except those which have been identified as the intellectual properties of the Other Parties shall remain the exclusive property of the Kidiaree. The Other Parties agree not to circumvent, disable or otherwise interfere with security related features of the Website or features that prevent or restrict use or copying of any materials or enforce limitations on use of the Website or the materials therein. The materials on the Website or otherwise may not be modified, copied, reproduced, distributed, republished, downloaded, displayed, sold, compiled, posted or transmitted in any form or by any means, including but not limited to, electronic, mechanical, photocopying, recording or other means.

Termination

The Terms will continue to apply until terminated by either You or Kidiaree as set forth below. If You want to terminate Your agreement with Kidiaree, You may do so by (i) not accessing the Website; or (ii) closing Your accounts for all of the services that You use, where Kidiaree has made this option available to You.

Kidiaree may, at any time, with or without notice, terminate the Terms (or portion thereof, such as any individual Additional Terms) with You if:

• You breach any of the provisions of the Terms, the Privacy Policy or any other terms, conditions, or policies that may be applicable to You from time to time (or have acted in a manner that clearly shows that You do not intend to, or are unable to, comply with the same);

• Kidiaree is required to do so by law (for example, where the provision of the services hereunder, to You is, or becomes, unlawful);

• The provision of the services to You, by Kidiaree is, in Kidiaree's opinion, no longer commercially viable;

• Kidiaree has elected to discontinue, with or without reason, access to the Website, the services (or any part thereof); or

Kidiaree may also terminate or suspend all or a portion of Your account or access to the services with or without reason. Except as may be set forth in any Additional Terms applicable to a particular service, termination of Your Account may include: (i) removal of access to all offerings within the Website or with respect to the services; (ii) deletion of Your materials and Account Information, including Your personal information, log-in ID and password, and all related information, files and materials associated with or inside Your Account (or any part thereof); and (iii) barring of further use of the Services.

You agree that all terminations shall be made in Kidiaree's sole discretion and that Kidiaree shall not be liable to You or any third party for any termination of Your Account (and accompanying deletion of Your Account Information), or Your access to the Website and the services offered thereunder.

Notwithstanding the foregoing, these Terms will survive indefinitely unless and until Kidiaree chooses to terminate them. If You or Kidiaree terminates Your use of the Website, Kidiaree may delete any content or any other materials relating to Your use of the Website and Kidiaree will have no liability to You or any third party for doing so.

Continuity

Nothing contained herein shall be construed as a binding obligation on Kidiaree, its associates/subsidiaries to continue the Kidiaree after it is terminated/ discontinued or to substitute it with any other similar or new programme. Kidiaree expressly reserves the right, at any time and without prior notice to the User(s), to add, alter, modify, change or vary all or in part, or withdraw altogether the Kidiaree without specifying any reason.

Waiver

No delay or decision not to enforce rights under these terms and conditions will constitute a waiver of the right to do so and will not affect rights in relation to any subsequent breach. Kidiaree’s and/or Kidiaree’s failure to enforce a particular term or condition does not constitute any waiver of that term or condition. This agreement is only in respect of Kidiaree and independent in nature. Further, it does not in any way waive, amend or override any of the Terms and Conditions of any existing Agreement(s) of the User(s) with Kidiaree.

Force Majeure

Kidiaree shall not be liable and to the extent, that the performance or delay in performance of any of its obligations are prevented, restricted, delayed or interfered with due to circumstances beyond the reasonable control and without the fault or negligence of such Party, including but not limited to change in legislation, fire, flood, explosion, epidemic, accident, act of God, pandemic, war, riot, strike, lockout, traffic or other concerted act of Service Provider/workmen and/or act of Government. Kidiaree may at its sole discretion withdraw the Services or Products if a Force Majeure event occurs.

Third Party Rights

Nothing in these Terms and Conditions is intended to nor shall it confer a benefit on any third party who is not a party to these Terms and Conditions and such third party has no rights to enforce them.

Governing Law and Dispute Resolution

These Terms and Conditions shall be governed in all respects by the laws of India and any legal proceeding arising out of these Terms and Conditions shall be subject to exclusive jurisdiction of the courts located in Mumbai, India.

Severability

If any provision of these Terms and Conditions is held by a court of competent jurisdiction to be unenforceable under applicable law, then such provision will be excluded from these Terms and Conditions and the remainder of these Terms and Conditions will be interpreted as if such provision were so excluded and will be enforceable in accordance with its terms; provided that, in such event, these Terms and Conditions will be interpreted so as to give effect, to the greatest extent consistent with and permitted by applicable law, to the meaning and intention of the excluded provision as determined by such court of competent jurisdiction.
